Common Questions About China Entry

Do I need to be physically present in China to register a WFOE?
Not necessarily. In many cases, the process can be handled remotely with properly notarised and apostilled documents. However, some cities and entity types may require at least one in-person visit for bank account opening. Echo Olesen Global will advise based on your specific situation.
Can a Hong Kong company own a China WFOE?
Yes. This is the most common and tax-efficient holding structure. A Hong Kong company acts as the foreign investor, benefiting from the HK-China tax treaty (5% dividend withholding tax) and CEPA preferential treatment. Echo Olesen Global can set up both entities simultaneously.
What is the minimum registered capital for a WFOE?
Since China abolished minimum registered capital requirements for most industries in 2014, there is technically no statutory minimum for general WFOEs. However, the registered capital must be sufficient to cover initial operating costs and must match the business scope. Certain regulated industries (banking, insurance, securities) still have specific capital requirements.
How long does it take to set up a Representative Office?
A Representative Office is the fastest China entry option, typically taking 1–3 months. The process involves registering with the local Administration for Market Regulation (AMR) and obtaining approval from the relevant supervisory authority for your industry.
Can a WFOE hire local Chinese employees?
Yes. A WFOE can directly hire Chinese nationals and must comply with Chinese labour law, including signing employment contracts, contributing to social insurance (五险一金), and withholding individual income tax. A Representative Office must hire local staff through a licensed labour dispatch agency.
